Trade Book Central Terms and Conditions

1.1. By accessing or using the Trade Book Central app ("the App"), you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the App.

1.2. You must be at least 18 years old to use this App. By using the App and agreeing to these terms, you represent and warrant that you are at least 18 years of age.

1.3. If you are using the App on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms and Conditions. In such case, the terms "you" or "your" shall refer to such entity.

1.4. These Terms and Conditions apply to all visitors, users, and others who access or use the App, including any associated services, features, content, or applications (collectively, the "Services") offered by Trade Book Central.

1.5. Your access to and use of the App is also conditioned on your acceptance of and compliance with our Privacy Policy. Please read our Privacy Policy carefully before using our App.

1.6. By using this App, you agree to receive communications from us electronically, including emails, text messages, and notices posted on the App. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

2.1. Trade Book Central is a digital platform designed for journaling and analyzing daily trades. The App provides features including, but not limited to:

1. A dashboard with a calendar view of trades
2. Performance charts and analytics
3. Trade logging and tracking capabilities
4. Custom tag creation for trade categorization
5. Note-taking functionality for each trade

2.2. The App is intended for personal and informational purposes only. It is not designed to provide trading or investment advice, nor should it be used as the sole basis for making trading or investment decisions.

2.3. Trade Book Central may offer different service tiers or subscription levels, each with its own set of features. The specific features available to you will depend on the type of account you register for or subscribe to.

2.4. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice or liability.

2.5. The App may include integration with third-party services or content. Use of such third-party services may be subject to additional terms and conditions, which you are responsible for reviewing and accepting.

2.6. While we strive to ensure high availability, we do not guarantee that the App will be available at all times or that access will be uninterrupted or error-free.

2.7. We may provide customer support services related to the App. The extent and nature of such services are at our discretion and may be changed or terminated at any time.

3.1. To access certain features of the App, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. You are responsible for safeguarding the password that you use to access the App and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

3.3. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.4. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.

3.5. We reserve the right to refuse registration of, or cancel an account in our sole discretion. You are solely responsible for any and all use of your account.

3.6. One person or legal entity may maintain no more than one account without our express permission.

3.7. Your account is non-transferable. You may not sell, trade, or transfer your account to another party. If you provide access to your account to a third party, you remain solely responsible for all activities conducted through your account.

3.8. If you are registering for a paid subscription, you will be required to provide billing information. You represent and warrant that all billing information provided is accurate and complete, and you agree to promptly update your account information with any changes.

3.9. We may, in our sole discretion, verify your identity before activating your account or allowing you to access certain features of the App. This may include requiring additional information or documentation from you.

4.1. Accuracy of Information: You are solely responsible for the accuracy and completeness of the trade information you enter into the App. This includes, but is not limited to, trade details, financial data, notes, and any other information you input or upload to the App.

4.2. Personal Use: The App is for your personal use only. You may not use it for any commercial purposes without our express written consent. This includes, but is not limited to, selling, renting, or leasing access to the App.

4.3. Prohibited Activities: You agree not to engage in any of the following prohibited activities:

1. Using the App for any unlawful purpose or in violation of any local, state, national, or international law
2. Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the App
3. Using any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the App or to extract data
4. Uploading invalid data, viruses, worms, or other software agents through the App
5. Impersonating another person or otherwise misrepresenting your affiliation with a person or entity
6. Interfering with any other user's use and enjoyment of the App
7. Sharing your account credentials with any third party or allowing any third party to access your account

4.4. Content Responsibility: You are solely responsible for any content you post, upload, publish, or display through the App. You represent and warrant that you own or have the necessary rights to use and authorize the use of all content you submit to the App.

4.5. Compliance with Laws: You are responsible for ensuring that your use of the App complies with all applicable laws, regulations, and third-party agreements that may apply to you.

4.6. Network Access and Devices: You are responsible for obtaining the data network access necessary to use the App. Your mobile network's data and messaging rates and fees may apply if you access or use the App from a wireless-enabled device. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the App.

4.7. Notification of Changes: You agree to promptly update your account information to keep it accurate and complete, including notifying us of any changes to your email address or other contact information.

4.8. Security: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You agree to accept responsibility for all activities that occur under your account or password.

5.1. Ownership: The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Trade Book Central, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2. License: Subject to these Terms and Conditions, Trade Book Central grants you a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal, non-commercial use.

5.3. Restrictions: You may not:

1. Modify, reproduce, distribute, create derivative works or adaptations of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as expressly authorized by these Terms and Conditions
2. Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code for the App
3. Use any automated system, including but not limited to "robots," "spiders," "offline readers," etc., to access the App
4. Use the App in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the App

5.4. Trademarks: The Trade Book Central name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Trade Book Central or its affiliates or licensors. You must not use such marks without the prior written permission of Trade Book Central.

5.5. User Content: You retain any copyright that you may hold in content that you submit to the App. By submitting content to the App, you grant Trade Book Central a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such content in any and all media or distribution methods now known or later developed.

5.6. Feedback: Any feedback, comments, or suggestions you may provide regarding the App is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

6.1. Our Privacy Policy, found at Privacy Policy page, is incorporated into these Terms and Conditions. Please read it carefully as it governs our collection, use, and disclosure of your personal information.

7.1. Trade Recording: The App allows users to record and track their trading activities. Users are solely responsible for the accuracy and completeness of the trade information they enter.

7.2. No Financial Advice: The Trade Book Central app is a journaling tool and does not provide any financial, investment, or trading advice. Any insights, analytics, or reports generated by the App are based solely on the data entered by the user and should not be construed as recommendations or guidance for future trades.

7.3. Third-Party Information: Any market data, news, or other third-party information provided within the App is for informational purposes only. We do not guarantee the accuracy, timeliness, or completeness of this information.

7.4. Performance Calculation: While the App provides features to calculate and display trading performance, users should not rely solely on these calculations for assessing their overall financial performance or for tax purposes. Users are advised to consult with financial professionals for accurate performance assessment and tax implications.

7.5. Data Backup: Users are responsible for backing up their trade data. While we strive to maintain the integrity and security of user data, we are not responsible for any loss of data due to technical issues or user error.

7.6. Market Volatility: Users acknowledge that financial markets can be highly volatile and that past performance does not guarantee future results. The App's analytics and reporting features are based on historical data and should not be used as the sole basis for making investment decisions.

7.7. Regulatory Compliance: Users are responsible for ensuring their use of the App complies with all applicable financial regulations and laws in their jurisdiction. This includes, but is not limited to, reporting requirements, tax obligations, and any restrictions on trading activities.

7.8. Educational Purpose: Any educational content, tutorials, or guides provided within the App are for informational purposes only and should not be considered as professional financial education or certification.

8.1. No Guarantee of Profits: Trading in financial markets involves substantial risk. Past performance is not indicative of future results. The use of Trade Book Central does not guarantee trading profits, and users may incur significant financial losses.

8.2. Market Risks: Financial markets can be volatile and unpredictable. Users acknowledge that they are aware of and accept the risks associated with trading in financial markets, including but not limited to market volatility, liquidity risks, and potential loss of investment.

8.3. Not a Substitute for Professional Advice: The App is not a substitute for professional financial advice. Users are strongly encouraged to consult with licensed financial advisors, accountants, and/or legal professionals before making any investment or trading decisions.

8.4. Technical Risks: While we strive to ensure the App's reliability, users acknowledge that technical issues, including but not limited to software bugs, internet connectivity problems, or server downtime, may affect the App's functionality and the accuracy of recorded data.

8.5. Regulatory Compliance: Users are responsible for ensuring their trading activities comply with all applicable laws and regulations in their jurisdiction. The use of Trade Book Central does not guarantee compliance with financial regulations or tax laws.

8.6. No Warranty: The App is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.7. Accuracy of Information: While we strive to ensure the accuracy of calculations and data presentations within the App, we do not warrant that the App will be error-free. Users should independently verify any critical information or calculations.

8.8. Third-Party Links: The App may contain links to third-party websites or services that are not owned or controlled by Trade Book Central. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

8.9. Economic Conditions: Users acknowledge that broader economic conditions, including but not limited to inflation, interest rates, and geopolitical events, can impact financial markets and individual trading performance. The App does not account for or predict such macro-economic factors.

9.1. Subscription Plans: Trade Book Central offers various subscription plans. The features included in each plan are described on our website and within the App.

9.2. Free Trial: We may offer a free trial period for new users. At the end of the free trial, your subscription will automatically convert to a paid subscription unless cancelled before the trial period ends.

9.3. Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis depending on the type of subscription you select.

9.4. Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.

9.5. Price Changes: We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes will be communicated to you in advance and will take effect at the next billing cycle.

9.6. Refunds: Payments are non-refundable and there are no refunds or credits for partially used periods. However, we may make exceptions in certain circumstances, at our sole discretion.

9.7. Cancellation: You may cancel your subscription at any time. If you cancel, you will continue to have access to the App until the end of your current billing period, but you will not receive a refund for any unused time on your subscription.

9.8. Payment Methods: We accept various payment methods as indicated during the subscription process. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the App.

9.9. Late Payments: If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, we may suspend your access to the service until we have successfully charged a valid payment method.

9.10. Taxes: The subscription fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties associated with your subscription.

9.11. Subscription Tiers: Different subscription tiers may offer varying levels of features and services. You may upgrade or downgrade your subscription tier at any time, subject to the terms of each tier.

9.12. Data Retention: If you downgrade your subscription, you may lose access to certain features or data associated with higher-tier subscriptions. We recommend exporting any crucial data before downgrading.

10.1. Termination by User: You may terminate your account at any time by following the instructions in the App or by contacting our customer support. Upon termination, your right to use the App will immediately cease.

10.2. Termination by Trade Book Central: We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

10.3. Effect of Termination: Upon termination, your right to use the App will immediately cease. If you terminate your account before the end of your current paid subscription period, your subscription will not be renewed for the following period, but you will not receive a refund for the unused portion of your current subscription period.

10.4. Data Retention and Deletion: After account termination, we may retain your data for a period of time as required by law or for legitimate business purposes. If you wish to have your data deleted upon termination, you must make this request in writing to our customer support.

10.5. Reactivation: If your account is terminated, you may not register for a new account without our express permission.

10.6. Survival: All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11.1. Modification Right: We reserve the right to modify these subscription terms at any time. We will provide notice of any material changes to these terms.

11.2. Notification: We will notify you of any changes by posting the new Terms and Conditions on this page and updating the "Last updated" date at the bottom of this page.

11.3. Continued Use: Your continued use of the App after such modifications will constitute your acknowledgment of the modified terms and agreement to abide and be bound by the modified terms.

11.4. Rejection of Changes: If you do not agree to the new terms, you are no longer authorized to use the App and must cancel your subscription.

12.1. For Users in Canada:

1. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any dispute arising from or relating to these Terms.

12.2. For Users in the United States:

1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the federal and state courts located in Delaware for the resolution of any dispute arising from or relating to these Terms.

12.3. For Users Outside Canada and the United States: If you are accessing or using the App from a country other than Canada or the United States, you agree that:

1. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
2. You submit to the non-exclusive jurisdiction of the courts of Toronto, Ontario, Canada for the resolution of any disputes.

12.4. Dispute Resolution: Any dispute arising from or relating to these Terms or your use of the App will first be resolved through good faith negotiations between the parties. If such negotiations fail to resolve the dispute within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the applicable jurisdiction.

12.5. Class Action Waiver: You agree to waive any right to participate in a class action lawsuit or class-wide arbitration related to the App or these Terms.

13.1. App Modifications: We reserve the right to modify or discontinue, temporarily or permanently, the App or any features or portions thereof without prior notice.

13.2. Terms Modifications: We may revise these Terms and Conditions from time to time. The most current version will always be posted on the App.

13.3. Notification of Changes: We will try to provide at least 30 days' notice prior to any major change (or 60 days' notice in the case of Subscription-related changes) taking effect during which you can review the changes, and decide whether you want to continue using the App.

13.4. Continued Use: Your continued use of the App following the posting of revised Terms and Conditions means that you accept and agree to the changes.

13.5. Material Changes: For any material changes to the Terms, we will make reasonable efforts to provide notice to you, such as through a notice on our homepage or to your email address on file with us.
